Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and SideEye Labs Pte. Ltd. (UEN: 202606926K), located at 160 Robinson Road, #14-04, Singapore Business Federation Center, Singapore 068914 ("SideEye Labs", "we", "us", or "our").

By accessing or using any of our websites, applications, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

2. Services

SideEye Labs develops and operates the following products and services:

• WeGoDive — a digital booking platform connecting divers with dive centres for booking dive trips and experiences. We may charge a booking deposit (service fee) of up to 15% of the total dive price at the time of reservation. The remaining balance is paid directly to the service provider. We do not process or hold the remaining service balance.
• Project AQUA — a software-as-a-service (SaaS) platform for dive school operations management, including bookings, payments, CRM, and backend workflows.
• Project APEX — an AI-driven digital asset intelligence platform for domain evaluation and strategic acquisition.
• Project LENS — an AI visibility intelligence platform that helps brands measure and optimise their presence across search and AI discovery channels.
• Project PULSE — an AI-powered opportunity engine that detects emerging ecommerce trends and surfaces high-potential products.
• Digital Products — educational guides, templates, and other digital resources made available for purchase through Gumroad.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.

3. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, SideEye Labs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

For WeGoDive, we act solely as a booking facilitator. We do not operate dive centres, conduct dives, or guarantee the quality, safety, or availability of any dive experience listed on our platform. Dive operators are independent third parties, and you engage with them at your own risk.

4. User Responsibilities

By using our services, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
• You will provide accurate, current, and complete information when creating an account or making a purchase.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You will not use our services for any unlawful, fraudulent, or malicious purpose.
• You will not attempt to gain unauthorised access to our systems, interfere with the proper functioning of our services, or engage in any activity that could damage, disable, or impair our platforms.
• You will not scrape, harvest, or collect data from our services without our express written permission.
• You will not misrepresent your identity or affiliation with any person or entity.

We reserve the right to suspend or terminate your access to our services if you violate any of these responsibilities.

5. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, images, audio, video, software, source code, and the overall design and arrangement thereof — are the exclusive property of SideEye Labs Pte. Ltd. or its licensors and are protected by Singapore and international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our services without our prior written consent, except as permitted for your personal, non-commercial use of the services.

Digital products purchased through Gumroad are licensed for your personal or business use only. Redistribution, resale, or sharing of purchased digital products is strictly prohibited unless otherwise stated in the product's specific licence terms.

6. Limitation of Liability

To the maximum extent permitted by applicable law, SideEye Labs Pte. Ltd., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use our services.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or our services exceed the amount you have paid to SideEye Labs in the twelve (12) months preceding the claim, or one hundred Singapore dollars (SGD 100), whichever is greater.

This limitation applies regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, or any other basis, even if we have been advised of the possibility of such damages.

7. Third-Party Services

Our services may contain links to or integrate with third-party websites, platforms, or services, including but not limited to:

• Stripe — for payment processing.
• Gumroad — for digital product sales and delivery.
• Vercel — for application hosting.
• Third-party dive centres and operators listed on WeGoDive.

SideEye Labs is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and conditions. We encourage you to review the terms and privacy policies of any third-party service you interact with through our platforms.

8. Termination

We may terminate or suspend your access to our services, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your relationship with us at any time by discontinuing your use of our services and, if applicable, by cancelling your subscription through the relevant platform.

Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and governing law.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Singapore.

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiations for a period of at least thirty (30) days from the date of written notice of the dispute.

10. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice (such as an email notification or an in-app alert).

Your continued use of our services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
